Important Notice for Enterprise, Regulated, and Public Sector Clients

If you have signed a separate agreement with BoundaryAI — such as a Data Processing Agreement (DPA), Business Associate Agreement (BAA), or Enterprise Master Services Agreement (MSA) — that agreement governs in the event of any conflict with these Terms.

Such agreements may include enhanced privacy and security commitments, stronger data residency guarantees, audit rights, and tailored regulatory compliance provisions.

1. Agreement to These Terms

These Terms of Service ("Terms") are a legally binding agreement between you ("you", "your", or "Customer") and BoundaryAI, Inc., a Delaware corporation ("BoundaryAI", "we", "us", or "our"), governing your access to and use of the BoundaryAI platform, APIs, and associated services (the "Services").

By creating an account or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accepting on behalf of an organisation, you warrant that you have authority to bind that organisation.

If you do not agree to these Terms, you must not access or use the Services.

2. Service Provider

BoundaryAI, Inc. is the sole contracting entity for all customers globally, including customers in the EU, UK, and Canada. BoundaryAI Analytics Canada Inc. is an affiliated entity that performs R&D and certain data processing on behalf of BoundaryAI, Inc. and is not a separate contracting party under these Terms.

Note for EU and UK customers: BoundaryAI, Inc. is a US-incorporated entity. International data transfers from the EEA and UK are governed by Standard Contractual Clauses (SCCs) and UK IDTA respectively, as set out in our Privacy Policy. We are reviewing our EU/UK corporate structure and will update these Terms accordingly. Enterprise and public sector customers with specific EU/UK establishment requirements should contact legal@boundary-ai.com.

3. Description of Services

3.1 What We Provide

BoundaryAI provides an AI-powered platform for enterprise workflow automation, data analysis, and natural language processing. The Services include:

  • Access to the BoundaryAI web-based platform and mobile applications;
  • API access for programmatic integration;
  • AI-powered analysis, generation, and processing capabilities — using BoundaryAI's proprietary models and Google Gemini via private, customer-region-isolated Vertex AI infrastructure;
  • Administrative tools, dashboards, and reporting;
  • Customer support, documentation, and training resources.

3.2 Infrastructure and Data Residency

BoundaryAI operates isolated GCP environments in the EU, Canada, and USA. Your data is assigned to the environment matching your region and does not leave that region for processing. For full details of our AI architecture and data residency model, see our Privacy Policy, Section 3.

3.3 Service Modifications

We continuously improve the Services and may modify, add, or remove features. We will give reasonable advance notice of changes that materially reduce core functionality you have purchased. Uptime and SLA commitments are set out in your Order Form or Enterprise Agreement.

3.4 Beta Features

Beta or preview features are provided "as is" without warranty and may be changed or discontinued without notice. They are excluded from SLA commitments unless explicitly stated.

4. Accounts and Eligibility

4.1 Eligibility

The Services are intended for businesses, professionals, and public sector organisations. You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account.

4.2 Account Registration

You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for all activity under your account.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at security@boundary-ai.com of any unauthorised use of your account or security breach.

4.4 Authorised Users

If you are on an organisational or team plan, you may invite authorised users within your subscription scope. You are responsible for ensuring all authorised users comply with these Terms.

5. Your Content, Outputs, and Intellectual Property

5.1 Ownership of Your Content

You retain all rights, title, and interest in and to the data, content, prompts, and materials you submit to the Services ("Your Content"). You grant BoundaryAI a limited, non-exclusive, non-transferable licence to process Your Content solely for the purpose of providing the Services to you.

5.2 Ownership of AI-Generated Outputs

As between BoundaryAI and you, you own the outputs generated by the Services using Your Content ("Outputs"), subject to:

  • You are solely responsible for reviewing, validating, and determining fitness of Outputs for your intended use;
  • BoundaryAI makes no warranty that Outputs are accurate, complete, or suitable for any particular purpose;
  • Outputs are not professional advice (legal, medical, financial, or otherwise) and should not be relied upon as such without independent verification;
  • You must comply with all applicable laws when using Outputs.

5.3 No Use of Your Content for AI Training

Your data is not our training data.

BoundaryAI does not use Your Content or Outputs to train, fine-tune, or improve AI models — ours or any third party's.

5.4 BoundaryAI Intellectual Property

The Services — including all software, algorithms, proprietary AI models, interfaces, and documentation — are owned by BoundaryAI and protected by applicable intellectual property laws. These Terms do not grant you any ownership in the Services or BoundaryAI IP. Subject to your compliance with these Terms and payment of applicable fees, BoundaryAI grants you a limited, non-exclusive, non-sublicensable, non-transferable licence to use the Services for your internal business purposes.

5.5 Content Restrictions

You represent and warrant that Your Content does not and will not:

  • Infringe any third-party intellectual property rights;
  • Contain personal data processed in violation of applicable data protection law;
  • Contain unlawful, harassing, abusive, defamatory, or harmful material;
  • Include malware, viruses, or malicious code;
  • Violate any applicable export control or sanctions regulations.

6. Acceptable Use Policy

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable laws or regulations;
  • Attempt to gain unauthorised access to the Services, other accounts, or BoundaryAI systems;
  • Interfere with, disrupt, or impose an undue burden on the Services or connected infrastructure;
  • Use automated means (bots, scrapers, crawlers) to access the Services without written permission;
  • Reverse engineer, decompile, or attempt to derive the source code of the Services;
  • Sublicense, resell, or commercially exploit the Services without a separate reseller agreement;
  • Use the Services to generate content that is deceptive, fraudulent, or misleading;
  • Use the Services to process data relating to children in violation of applicable law;
  • Attempt to circumvent any security features of the Services;
  • Use the Services in any way that could expose BoundaryAI or its customers to liability, reputational harm, or regulatory action.

Enforcement: We reserve the right to investigate violations and take appropriate action, including suspending or terminating access and reporting to law enforcement.

7. Fees, Payment, and Subscriptions

7.1 Fees

Access to the Services requires payment of fees as described on our pricing page or in your Order Form. All fees are quoted exclusive of applicable taxes unless stated otherwise.

7.2 Payment Processing via Stripe

All payments are processed by Stripe, Inc. ("Stripe"). By providing payment details, you agree to Stripe's Terms of Service and Privacy Policy (available at stripe.com). BoundaryAI does not store payment card details — Stripe processes and stores all card data under their own PCI-DSS compliance programme.

7.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through account settings or by contacting billing@boundary-ai.com.

7.4 Price Changes

We may change fees on not less than 30 days written notice. If you do not agree to new fees, you may cancel before they take effect.

7.5 Refunds

Except as required by applicable law or as stated in your Order Form, fees are non-refundable. Where a refund is owed by law, it will be processed to the original payment method within 10 business days.

7.6 Taxes

You are responsible for all applicable taxes, levies, and duties. Where required by law, BoundaryAI will collect and remit applicable taxes, including VAT and GST.

8. Privacy, Data Protection, and Security

8.1 Privacy Policy

BoundaryAI's collection, use, and disclosure of personal data is governed by our Privacy Policy, incorporated into these Terms by reference and available at boundary-ai.com/privacy.

8.2 Data Processing Agreement

Where you use the Services to process personal data of your end users or employees, BoundaryAI acts as your data processor. In such cases, the parties shall execute a Data Processing Agreement (DPA). Our standard DPA is available at boundary-ai.com/dpa. Enterprise and public sector customers with bespoke requirements should contact legal@boundary-ai.com.

8.3 Data Residency

Your data is processed within your assigned regional GCP environment (EU, Canada, or USA). AI inference is performed within your region using BoundaryAI's proprietary models and private Vertex AI infrastructure — your data does not leave your region for AI processing. See Privacy Policy, Section 3 for full details.

8.4 Security

BoundaryAI maintains a comprehensive security programme including encryption in transit (TLS 1.2+) and at rest (AES-256), role-based access controls, multi-factor authentication, continuous compliance monitoring via Vanta, and SOC 2 Type II certification in progress. Our Trust & Security documentation is available to enterprise customers under NDA.

8.5 Data Breach Notification

In the event of a security breach affecting your data, BoundaryAI will notify you within 72 hours of becoming aware of the breach, as required by applicable law.

9. Confidentiality

9.1 Mutual Obligations

"Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Each party agrees to: (i) maintain the other party's Confidential Information in strict confidence; (ii) use it only as necessary to exercise rights or fulfil obligations under these Terms; and (iii) disclose it only to employees and contractors with a legitimate need to know.

9.2 Exceptions

Confidentiality obligations do not apply to information that: (i) becomes publicly known through no breach of these Terms; (ii) was rightfully known before receipt without restriction; (iii) is independently developed without use of the Confidential Information; or (iv) must be disclosed by law, provided the disclosing party gives prompt written notice where permitted.

9.3 Your Content

BoundaryAI treats Your Content as your Confidential Information and will not access or disclose it except as necessary to provide the Services, as required by law, or as you have expressly authorised.

10. Warranties and Disclaimers

10.1 BoundaryAI Warranties

BoundaryAI warrants that: (i) the Services will perform materially in accordance with the documentation; (ii) it will use commercially reasonable security practices to protect Your Content; and (iii) it has the right to enter into these Terms and grant the licences herein.

10.2 Disclaimers

IMPORTANT — PLEASE READ

EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, THE SERVICES AND ALL AI-GENERATED OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, BOUNDARYAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-GENERATED OUTPUTS MAY CONTAIN INACCURACIES AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR VALIDATING OUTPUTS BEFORE RELIANCE. BOUNDARYAI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Nothing in this section limits any warranty rights you may have under applicable consumer protection law that cannot be excluded by contract.

11. Limitation of Liability

11.1 Exclusion of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER BOUNDARYAI NOR ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Liability Cap

SUBJECT TO SECTION 11.3, BOUNDARYAI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS IN ANY TWELVE-MONTH PERIOD SHALL NOT EXCEED THE GREATER OF: (A) THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD 100.

11.3 Exceptions

Nothing in these Terms limits liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; (iii) any liability that cannot be excluded by applicable law; or (iv) either party's indemnification obligations under Section 12.

12. Indemnification

12.1 By You

You will indemnify, defend, and hold harmless BoundaryAI and its affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (i) Your Content; (ii) your use of the Services in violation of these Terms or applicable law; (iii) your Outputs and any decisions made based on them; or (iv) your products or services.

12.2 By BoundaryAI

BoundaryAI will indemnify, defend, and hold harmless you from third-party claims that the Services (excluding Your Content and Outputs) infringe any third-party intellectual property rights, provided that you: (i) promptly notify BoundaryAI of the claim; (ii) give BoundaryAI sole control of the defence; and (iii) cooperate reasonably.

13. Term and Termination

13.1 Term

These Terms commence when you first accept them and continue until terminated.

13.2 Termination by You

You may terminate your account at any time by cancelling your subscription through account settings or by contacting support@boundary-ai.com. Termination takes effect at the end of your current billing period unless you elect immediate termination.

13.3 Termination by BoundaryAI

BoundaryAI may suspend or terminate access: (i) immediately if you breach these Terms and fail to cure within 14 days of notice (or immediately for uncurable breaches); (ii) with 30 days notice without cause; or (iii) immediately if required by law or to protect security or integrity of the Services.

13.4 Effect of Termination

On termination: (i) all licences cease immediately; (ii) you must stop using the Services; (iii) we will provide a 30-day data export window to retrieve Your Content, after which it will be deleted per our Privacy Policy; and (iv) accrued payment obligations and provisions intended to survive will survive.

13.5 Survival

Sections 5 (Content and IP), 9 (Confidentiality), 10.2 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 14 (General) survive termination.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. For EU and UK customers, mandatory consumer and data protection protections under your local law apply notwithstanding this choice of law.

14.2 Jurisdiction

The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, USA, except that each party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

14.3 EU and UK Consumer Protections

If you are a consumer or a small business in the EU or UK, you retain the benefit of mandatory consumer protection provisions of the law of your country of residence that cannot be excluded by contract. Nothing in these Terms restricts your rights under those provisions.

14.4 Informal Resolution

Before initiating formal proceedings, the parties agree to attempt informal resolution by contacting legal@boundary-ai.com. We will make good-faith efforts to resolve the dispute within 30 days of notice.

15. General Provisions

15.1 Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days advance notice by email and/or in-product notification. Continued use after the effective date constitutes acceptance. If you do not agree to updated Terms, you may terminate your account before they take effect.

15.2 Entire Agreement

These Terms, together with our Privacy Policy, any applicable Order Form, and any executed DPA, BAA, or MSA, constitute the entire agreement between the parties and supersede all prior agreements relating to the Services.

15.3 Severability

If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force.

15.4 Waiver

No failure or delay in exercising any right constitutes a waiver. Waivers must be in writing signed by an authorised representative.

15.5 Assignment

You may not assign these Terms without BoundaryAI's prior written consent. BoundaryAI may assign these Terms in connection with a merger, acquisition, or asset sale, subject to notifying you.

15.6 Force Majeure

Neither party will be liable for delays or failures resulting from events beyond their reasonable control (natural disasters, government actions, infrastructure failures), provided the affected party promptly notifies the other and uses reasonable efforts to resume performance.

15.7 Notices

Notices to BoundaryAI should be sent to legal@boundary-ai.com or to the postal address in Section 2. Notices to you will be sent to the email address on your account.

15.8 Relationship of Parties

The parties are independent contractors. These Terms do not create any partnership, joint venture, agency, employment, or fiduciary relationship.
